Partner Program Terms
Effective date: October 19, 2026
These Partner Program Terms ("Partner Terms") apply to bookkeeping firms, accounting firms, fractional CFOs, consultants and other organizations accepted into the Cullektor partner program ("Partner", "you"). They are between you and Cullektor (legal entity registration in progress) ("Cullektor", "we"). Our Terms of Service, Acceptable Use Policy and Data Processing Addendum also apply to your use of the Service. If we sign a separate partner agreement with you, it controls where it conflicts with these Partner Terms.
1. Joining the program
1.1 You apply through our website or by email. We may accept or decline any application. You join a track, Referral or Resale, when we confirm acceptance in writing (email is enough). You can be on both tracks for different clients.
1.2 You must be a business, and you must keep the information you give us accurate.
2. Referral track
2.1 How it works. You introduce businesses ("Referred Customers") that then sign up and contract with Cullektor directly. We bill them and support them.
2.2 Qualifying referral. A referral qualifies when (a) you register it with us by email or through your partner link before the business first contacts us or starts a trial, (b) the business is not already our customer or in an active sales conversation with us (we will tell you within 5 business days if it is), and (c) the business signs up for a paid plan within 90 days of registration. If two partners register the same business, the first valid registration wins.
2.3 Commission. We pay 15% of Net Fees received from each Referred Customer, for as long as that Referred Customer keeps paying for the Service and you remain a partner in good standing. "Net Fees" means subscription and service fees we actually receive, excluding taxes, refunds, credits, chargebacks, payment-processing fees and pass-through costs.
2.4 Payment. We send a monthly statement of Referred Customers and Net Fees. Commissions are paid within 30 days after the end of each calendar quarter, once the accrued balance is at least US$100 (smaller balances roll over). Payment is by bank transfer in US dollars. You must give us a valid W-9 (or W-8) and payout details before we pay. We may offset refunded or charged-back fees against later commissions.
2.5 Professional rules. If you are a CPA firm or other regulated professional, you are responsible for complying with your professional rules on commissions and referral fees, including any requirement to disclose the commission to your client and any prohibition on accepting commissions from attest clients (see, for example, the AICPA Code of Professional Conduct, ET section 1.520). We may pay commissions to you only, never to an individual employee of a client.
3. Resale track
3.1 How it works. You buy the Service from us at wholesale and provide it to your own clients ("End Clients"). You are our customer of record: we bill you, and you bill your End Clients at prices you set.
3.2 Wholesale prices. US$199 per active End Client per month on Autopilot Starter, and US$399 per active End Client per month on Autopilot Growth. Desk plans for End Clients are available at the partner rates in your Order. Prices may change on 60 days' notice, effective from your next billing period.
3.3 Minimum of 5 active client licences. The Resale track has a minimum commitment of 5 active End Client licences. From the end of your free period (section 3.4), you will be billed for the greater of (a) the number of active End Client licences in the month and (b) 5 licences at the Starter wholesale rate (US$199), unless your Order states otherwise. An End Client licence is "active" if it is connected to a ledger or has sent any message in the billing month.
3.4 Free start. Your first 5 End Client companies are free for 60 days from the date the first one is connected. After that, normal wholesale fees and the minimum apply.
3.5 Billing. Monthly in advance by card or ACH (or by invoice on approval), with additional licences added during the month prorated. Your obligation to pay us does not depend on whether your End Clients pay you.
3.6 Your responsibilities to End Clients. You must: (a) have each End Client's written authorization to connect its accounting system and mailbox and to send messages in its name; (b) have each End Client accept terms at least as protective of Cullektor as our Terms of Service, AUP and DPA (you may use ours or present them for acceptance in the app); (c) make sure each End Client meets the eligibility rules (US B2B receivables only, no consumer debt); (d) give first-line support to End Clients, with our second-line support behind you; and (e) not make promises about the Service beyond our published documentation. You are responsible for End Clients' use of the Service as if it were your own use.
3.7 Data. For End Client data, you act as processor for your End Client and we act as your subprocessor under our DPA. If you stop being a partner, we will, at your choice and with the End Client's consent, transfer End Clients to a direct relationship with us or return and delete their data as set out in our Terms.
4. Rules for all partners
4.1 Brand and claims. You may use the Cullektor name and logo only as we approve and only to describe the program. You must not describe Cullektor (or yourself, when using Cullektor) as a collection agency, imply that we hold certifications we do not have (for example SOC 2), or promise collection results. You must accurately describe our status as an early-access service.
4.2 Compliance. You must comply with anti-bribery, anti-spam (including CAN-SPAM) and privacy laws in promoting Cullektor. No cold email or texting campaigns using our name, and no paid search ads bidding on the "Cullektor" brand.
4.3 Independent parties. You are an independent contractor. Neither party can bind the other. Nothing here creates a partnership, franchise, joint venture or employment relationship. The program is not exclusive.
4.4 Confidentiality. Section 11 of our Terms of Service applies to information exchanged under these Partner Terms, including pricing and statements.
5. Term and termination
5.1 These Partner Terms continue until ended. Either party may leave the program on 30 days' written notice, or immediately for material breach not cured within 15 days of notice.
5.2 On termination: (a) Referral commissions continue for Referred Customers who signed up while you were a partner, for 12 months after termination, unless we terminated for your breach; (b) Resale End Clients may be transitioned under section 3.7, and you remain liable for fees through the effective date of termination (including the 5-licence minimum for that month).
6. Liability
Each party's liability under these Partner Terms is limited as set out in section 16 of our Terms of Service, with the cap for commission claims being the commissions due in the 12 months before the claim.
7. Changes and law
We may change these Partner Terms with 30 days' notice by email; changes to commission rates do not reduce commissions on Net Fees received before the change takes effect. Section 18 (Governing law and disputes) of our Terms of Service applies.
