Terms of service
Effective date: [Effective date] · Governing law: [State], United States
1. The service
Cullektor provides software and, on Desk plans, human services that help a business follow up on its own business-to-business invoices, in that business’s name.
2. Your role and ours
You remain the creditor and decide how your receivables are handled. You approve message templates and escalation rules. Cullektor is not a collection agency, does not purchase or take assignment of receivables, and does not receive, hold or transmit funds. Payments are made directly to you.
3. Eligible receivables
Business-to-business invoices only. Not consumer, homeowner or regulated healthcare receivables. Invoices over 120 days past due or in legal dispute are returned to you. [Counsel: confirm thresholds and state-licensing position.]
4. Fees
Flat subscription fees as listed on our pricing page or order form, billed monthly or annually in advance. We do not charge a percentage of amounts collected.
5. Your data
You own your data. You grant us the rights needed to provide the service. We do not use your data to train AI models. See our privacy policy and DPA.
6. Acceptable use
No unlawful, harassing, deceptive or threatening communications. No use for consumer or homeowner receivables.
7. Third-party platforms
Use of QuickBooks Online, Xero, NetSuite and other accounting systems, any integration provider we use to connect to them, Gmail, Microsoft 365 and other connected services is also subject to those providers’ terms.
8. Disclaimers and limitation of liability
[Counsel: insert. Plan assumption: liability capped at fees paid in the prior three months; no guarantee of any collection outcome.]
9. Term and termination
[Insert term, renewal and termination provisions, and data export and deletion on exit.]
